Order Conditions

1. These Order Conditions form an integral part of orders placed by Divize Isover, Saint-Gobain Construction Products CZ a.s. (hereinafter the Buyer) for the purpose of the purchase of the goods.

2. The Buyer agrees to collect the goods in the agreed quantity, quality, and workmanship and with the agreed packaging.

3. The goods are bought in the quality corresponding to the guaranteed parameters specified in the specifications of the Seller agreed by the Buyer. The quality certificate of the production plant is decisive for the determination of quality.

4. The weight specified in the delivery note is decisive for the quantity of the goods sold. The Buyer reserves the right to check the weight by means of a control weighing.

II
Performance of Orders

1. The place of performance is the agreed place of delivery to the Buyer.

2. The liability for damage to the goods shall pass from the Seller to the Buyer upon the delivery of the goods to the agreed place.

3. In the event that the Buyer arranges for its own transport of the goods, the Seller shall be obliged to notify the Buyer that the goods are ready to be collected with a collection period of at least 5 calendar days.
If the Seller engages a third party for the purpose of delivery, it may do so only with the written consent of the Buyer.

Terms of Payment

1. The purchase price and the due date shall be determined by agreement between the Seller and the Buyer.

2. The Purchase Price shall be deemed paid on the date on which the Seller's account is credited with the purchase price.

3. The Seller shall charge the Buyer the purchase price by means of a properly issued invoice.

IV
Jurisdiction to Decide Disputes

Divize Isover, Saint-Gobain Construction Products CZ a.s. and the Buyer agree to attempt to resolve any dispute amicably. Should they fail to agree on the settlement of any dispute, the court with the jurisdiction to decide their dispute arising from the sales contract is the Regional Court in Hradec Králové.

Miscellaneous Provisions

In matters not regulated herein, the business relationship between the Seller and the Buyer shall be governed by the Commercial Code as amended on the date of the conclusion of the sales contract.
